01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and OKO Labs Inc. ("Company," "we," "us," or "our"), the operator of Imperfit, accessible at imperfit.app and through our mobile applications (collectively, the "Service").

By downloading the Imperfit application, creating an account, accessing the Service, or clicking "I agree" or a similar button, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. In that case, "you" refers to both you individually and the organization.

02 Description of Service

Imperfit is an AI-powered nutrition tracking mobile application that helps users log food intake, monitor macronutrient consumption, track physical activity and step counts, set personal health goals, and gain insights through artificial intelligence.

Key features of the Service include:

• Conversational, chat-first food logging powered by AI
• Macronutrient tracking (protein, carbohydrates, fats, calories)
• Step count and activity data integration
• Personalized goal setting and progress tracking
• AI-generated nutritional insights and suggestions
• On-device AI processing for certain features (where available)

The Service is provided for personal, informational, and wellness purposes only. Imperfit is not a medical device and does not provide medical advice, diagnosis, or treatment. See Section 6 for our full Health Data Disclaimer.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

03 Eligibility

To use Imperfit, you must meet the following eligibility requirements:

• Age: You must be at least 13 years of age. Users under 18 must have parental or guardian consent. We do not knowingly collect personal information from children under 13. If we discover that a user under 13 has created an account, we will delete that account and associated data promptly.
• Legal capacity: You must have the legal capacity to enter into a binding contract in your jurisdiction.
• Not previously banned: You must not have been previously suspended or removed from the Service by us.
• Geographic availability: The Service is currently available primarily to users in the United States. We may expand availability over time. By using the Service from outside the United States, you are responsible for compliance with your local laws.

We reserve the right to refuse service to anyone for any reason at any time, to the extent permitted by applicable law.

04 Account Registration

To access most features of Imperfit, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at legal@imperfit.app if you suspect unauthorized access to your account

Account authentication is handled by Firebase Authentication (Google LLC). By creating an account, you also agree to Google's applicable terms of service as they relate to Firebase Authentication.

You may not create more than one account per person, share your account credentials with others, or use another person's account without their express permission.

We reserve the right to terminate or suspend accounts that contain false information, are inactive for extended periods, or otherwise violate these Terms.

05 Subscription & Billing

Imperfit offers two service tiers:

Free Trial

New Pro subscribers receive a 14-day free trial. During the trial period, you will not be charged. Your payment method will be billed at the applicable Pro plan rate when the trial period ends, unless you cancel before the trial concludes. Trial availability may vary and is offered at our discretion for new subscribers only.

Automatic Renewal

IMPORTANT: Your subscription will automatically renew at the end of each billing period (monthly or annual, as applicable) at the then-current rate unless you cancel before the renewal date. By subscribing, you authorize us and our payment processor to charge your payment method on file on a recurring basis. You will receive advance notice of any material price changes before your renewal date.

Payment Processing

All payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By providing payment information, you authorize Stripe to store and charge your payment method in accordance with your chosen subscription plan. Your payment information is stored and processed by Stripe and is not stored on Imperfit's servers. Stripe's use of your payment data is governed by Stripe's Privacy Policy.

Cancellation

You may cancel your Pro subscription at any time through the app settings or by contacting us at legal@imperfit.app. Cancellation takes effect at the end of the current billing period — you will retain access to Pro features through the end of the period for which you have already paid. Cancellation does not result in a prorated refund for the remaining portion of a billing period.

Refund Policy

Except as required by applicable law, subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or periods during which you did not use the Service. If you believe you were charged in error, please contact us within 30 days of the charge at legal@imperfit.app and we will review your case.

Pricing Changes

We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice of any price increase, and the new pricing will take effect at your next renewal date following the notice period. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

Failed Payments

If a payment fails, we may attempt to recharge your payment method. If we cannot collect payment, your access to Pro features may be suspended or downgraded to the Free tier until payment is resolved.

06 Health Data Disclaimer

The nutritional information, tracking data, AI-generated insights, and other content provided through Imperfit are for general wellness and informational purposes only. Individual nutritional needs vary significantly based on age, health status, medical conditions, medications, activity level, and other factors that Imperfit does not and cannot fully account for.

Always consult a qualified healthcare professional — such as a physician, registered dietitian, or licensed nutritionist — before making significant changes to your diet, exercise routine, or health practices, especially if you have or suspect any medical condition, eating disorder, metabolic condition, diabetes, or other health concern.

The health data you input into Imperfit (including food logs, macro targets, step counts, and activity data) is used solely to provide you with the tracking and AI features of the Service. This data is not reviewed by medical professionals and does not constitute a medical record.

By using Imperfit, you acknowledge and agree that:

• You are using the Service voluntarily for personal wellness purposes
• Imperfit is not a substitute for professional medical advice, diagnosis, or treatment
• We are not liable for any health outcomes, decisions, or actions taken based on information or insights provided by the Service
• You should seek the advice of a healthcare professional before relying on any nutritional information for medical or therapeutic purposes

07 Acceptable Use

You agree to use Imperfit only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable local, state, national, or international laws or regulations
• Transmit any material that is defamatory, obscene, fraudulent, or harmful
• Attempt to gain unauthorized access to any part of the Service, its servers, or any connected systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Use automated scripts, bots, scrapers, or other tools to access or interact with the Service without our prior written consent
• Impersonate any person or entity, or falsely represent your affiliation with a person or entity
• Use the Service to develop a competing product or service
• Remove, alter, or obscure any proprietary notices within the Service
• Share, sell, or transfer your account or subscription to another person
• Use the Service to engage in any commercial activity without our written consent

We reserve the right to investigate violations of these Terms and to take appropriate action, including suspending or terminating accounts, reporting violations to law enforcement, and pursuing legal remedies.

08 Intellectual Property

Our Intellectual Property

The Service and its entire contents, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, software, algorithms, and the compilation thereof — are owned by OKO Labs Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes as set forth in these Terms. No other rights are granted. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material in our Service except as permitted by these Terms.

Your Content

You retain ownership of any content you submit to the Service, including food logs, notes, and user-generated data ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to your User Content, and that your User Content does not infringe the rights of any third party.

We may use aggregated, anonymized data derived from user activity to improve the Service, train models, generate analytics, and develop new features. This aggregated data will not identify you personally.

Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free right to use such feedback for any purpose without compensation or attribution to you.

09 AI-Generated Content

Imperfit uses artificial intelligence and machine learning to provide features including food recognition, nutritional insights, personalized suggestions, and conversational logging. The AI components of the Service are powered by third-party providers including Google Gemini AI and Liquid AI (on-device models), subject to availability.

You acknowledge and agree that:

• AI-generated content is provided "as is" without warranty of accuracy or completeness
• Nutritional estimates provided by AI are approximations and may not reflect actual food composition
• AI suggestions and insights do not constitute professional dietary, medical, or health advice
• You are solely responsible for decisions you make based on AI-generated outputs
• We are not liable for errors, inaccuracies, or omissions in AI-generated content
• The AI systems may be updated, replaced, or unavailable at any time

We continuously work to improve the accuracy of our AI systems, but we cannot guarantee that AI outputs will be free from error. When accuracy is important — particularly for medical, therapeutic, or clinical purposes — please consult a qualified professional.

10 Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

Limitation of Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OKO Labs Inc., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so the above limitations may not apply to you in full. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Third-Party Services

The Service relies on third-party infrastructure and service providers, including Google Firebase (authentication and push notifications via Firebase Cloud Messaging), Neon (database), Google Gemini AI, Liquid AI, and Sentry (error monitoring). We are not responsible for any failure, interruption, or breach attributable to these third-party providers. Your use of these services may also be subject to their respective terms and privacy policies.

11 Indemnification

You agree to defend, indemnify, and hold harmless OKO Labs Inc. and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service, including any data or content you submit
• Your violation of any third party's rights, including intellectual property rights
• Your violation of any applicable laws or regulations
• Any claims arising from your User Content

We reserve the right to assume control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

12 Changes to Terms

We may revise these Terms from time to time at our sole discretion. When we make material changes, we will notify you by:

• Updating the "Last Updated" date at the top of this page
• Sending a push notification or in-app notice to active users
• Sending an email to the address associated with your account (for material changes)

Changes will become effective on the date specified in the notice, which will generally be at least 14 days after we notify you for material changes. For changes required by law or that do not materially affect your rights, changes may take effect immediately.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service and may cancel your subscription as described in Section 5.

13 Governing Law & Disputes

Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Informal Resolution

Before filing a formal claim, you agree to contact us at legal@imperfit.app and attempt to resolve the dispute informally. We will make a good-faith effort to resolve most concerns within 30 days of receiving your notice.

Arbitration Agreement

If informal resolution fails, you and OKO Labs Inc. agree to resolve any disputes through binding individual arbitration, not in court (except for matters that may be brought in small claims court). You waive your right to participate in a class action lawsuit or class-wide arbitration. The arbitration will be conducted under the rules of the American Arbitration Association (AAA) and administered by the AAA.

YOU AND OKO Labs Inc. EACH WAIVE ANY RIGHT TO A JURY TRIAL AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION.

Exceptions

Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including in connection with intellectual property claims.

Venue

For any disputes not subject to arbitration, you and OKO Labs Inc. agree to submit to the personal jurisdiction of the state and federal courts located in Florida.

GDPR & CCPA Notice

If you are a resident of the European Union or California, you may have additional rights with respect to your personal data. Please refer to our Privacy Policy for information about your rights under the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA / CPRA), including your rights to access, delete, and opt out of the sale of your personal information.
